6 Products

6.1 Sale Contracts

By submitting an online order, you make an offer to purchase Products from us. If we accept your offer by displaying or sending you an order confirmation, a Sale Contract is formed. Each such transaction will be treated as a separate Sale Contract.

6.2 Price

  • (a) You agree to pay us the applicable Price for Products you order in accordance with a Sale Contract, as advertised on the Website, and the Price must be paid without setoff or deduction in accordance with these Terms;
  • (b) Unless otherwise expressly stated, all Prices are payable in Australian currency and are inclusive of GST and handling charges. For the avoidance of doubt, where a Price is expressed in a different currency (for example, our VIP Coaching Program is currently listed in USD), that currency will apply instead.
  • (c) Prices are subject to change without notice, however any such change will not affect a Sale Contract already formed under clause 6.1;
  • (d) We accept the payment methods as indicated on the Website. By submitting your order you represent and warrant that you are authorised to use the chosen payment method and that you authorise us to charge the Price of the relevant Sale Contract to the chosen payment method;

We may suspend or cancel your order without notice if the payment method cannot be verified, is invalid or otherwise unacceptable;
  • (f) We are entitled to charge you:
    • (i) any cost which we pay to recover any amount owed to us by you, including without limitation any legal fees and debt collection charges; and
    • (ii) if there are any issues with your payment method, any bank or merchant fees, or commissions charged to us as a result, and an additional administration fee of $50 to process such issues. All such charges must be paid to us on demand; and
  • (g) We may offer one or more payment processors as a way to facilitate payment of the Price. You must make payment by way of one of the payment processors offered (which we may modify from time to time at our sole discretion). You agree that you must comply with the terms and conditions of the relevant payment processor.

6.3 Descriptions

Products displayed on our Website or otherwise disclosed may not be available or be exactly as described. To the extent permitted by law, we do not warrant that the descriptions or other content available on the Website or otherwise disclosed are accurate, complete, reliable, current, or error-free. Any testimonials, results, or outcomes described in connection with a Product reflect individual experiences, are not guaranteed, and will vary based on your individual circumstances and effort.

6.4 Ordering Products

  • (a) All Products are subject to availability, and we may withdraw or discontinue a Product at any time before you complete your purchase.
  • (b) We may refuse to sell or supply Products to any person, for any reason or for no reason.
  • (c) Where a Product requires an application (such as our VIP Coaching Program), applying does not guarantee acceptance. We may accept or decline any application at our sole discretion, and we do not have to give any reason to you.

6.5 Cancellation of Order

  • (a) We may cancel or reduce an order without notice for any reason, including where:
    • (i) the Product or item(s) for the Product is no longer available (and we may discontinue a Product at any time);

    • (iii) a duplicate order for a Product was placed;
    • (iv) the Product was cancelled with your consent;
    • (v) an application-based Product (such as the VIP Coaching Program) was declined under clause 6.4(c);

  • (c) Other than as set out in clause 6.7, you may not cancel an order once it has been placed.

6.6 Access to Digital Products

  • (a) Following payment, access to your Product will be provided automatically, typically by email. You are responsible for providing a valid email address and checking your spam or junk folder. If you have not received access within a reasonable time, contact us at contact@rishani.co with proof of purchase.
  • (b) Coaching calls and other live components of a Product will be delivered at a time agreed between you and us. To the extent permitted by law, we are not liable for delays caused by a third-party platform (such as Stan Store, Stripe, or Telegram) that we use to deliver a Product.

6.7 Refunds

  • (a) All digital Products (including courses, hypnosis audio, and other downloadable or streamed material) are non-refundable once purchased and/or accessed, except as set out below or as required under the Australian Consumer Law. If we cancel any Product under clause 6.5 before delivery of it to you, then we will refund you in full.
  • (b) Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where a Product is not fit for purpose, is faulty, or is materially different from how it was described, you may be entitled to a repair, replacement, credit, or refund as required by law.
  • (c) VIP Coaching Program
    • (i) The VIP Coaching Program is application-only. Acceptance is at our sole discretion, and no fee is payable, and no place is reserved, unless and until your application is accepted.
    • (ii) Once your application is accepted and you have paid the Price (in full or, where offered, the first instalment of a payment plan), your place is confirmed and 5 Business Days from the date of confirmation, no refund will be provided for a change of mind.
    • (iii) Where the Price is paid by instalments, you remain liable for the full Price regardless of your attendance or participation. If an instalment payment fails or is not made when due, we may suspend your access to the program (including scheduled calls) until payment is made and may treat the program as terminated by you if payment is not received within 5 Business Days of the due date. Amounts already paid are non-refundable in that circumstance.
    • (iv) If you wish to reschedule or cancel a coaching call, you must notify us at contact@rishani.co no less than 48 hours before the scheduled time. If you do not attend a call or fail to give the required notice, that call is forfeited and will not be rescheduled or refunded.
    • (v) If we are unable to deliver a scheduled call and cannot offer a reasonable alternative time, you will be entitled to a refund or credit for that call only.
    • (vi) Other than as set out in this clause 6.7(c) or as required under the Australian Consumer Law, all payments made for the VIP Coaching Program are non-refundable, including if you choose to disengage or stop participating before the end of the program term.
    • (vii) We may require you to enter into a separate confidentiality agreement before the VIP Coaching Program commences.
  • (d) 1:1 Sessions
    • (i) 1:1 Sessions are booked individually and are subject to availability.

    • (iii) Other than as set out in this clause 6.7(d) or as required under the Australian Consumer Law, payments for 1:1 Sessions are non-refundable.
    • (iv) If we are unable to deliver a booked 1:1 Session and cannot offer a reasonable alternative time, you will be entitled to a refund or credit for that session.

6.8 Changes to Products

We may change, update, suspend, or discontinue any part of a Product at any time. Where we make a material change to a Product you have purchased but not yet fully accessed, we will make reasonable efforts to notify you. We are not obliged to provide ongoing updates, additional resources, or new versions of a Product, even where we have indicated (including in our marketing) that further materials may be added from time to time.

7 Intellectual property rights

7.1 Except where otherwise indicated or implied by context, we are the sole owners or licensees of all Intellectual Property Rights comprised in the Website and the Products (including all Intellectual Property Rights comprised in the Website content and any associated documentation) and any improvements, Updates, or modifications of the Website, and any customisations and derivative works and nothing in these Terms constitutes a transfer of any Intellectual Property Rights in or related to the Website or Website content. To the extent that you acquire any such Intellectual Property Rights, you irrevocably assign such rights to us.

7.2 You acknowledge and agree that the Website and the content contained therein are protected by copyright, trademarks, service marks, patents, design registrations, and other proprietary rights and laws, and you agree to comply with and maintain all copyright notices and other restrictions on content accessed on or via the Website.

7.3 If you provide us with feedback, comments or suggestions (Feedback) relating to the Website or our business, then all rights, title and interest in that Feedback, and anything created as a result of that Feedback (including new material, enhancements, modification, or derivative works), are owned solely by us, automatically assigned to us and we may use the Feedback for any purpose.

7.4 You must not do anything which breaches or otherwise interferes with our Intellectual Property Rights or the Intellectual Property Rights of any of its third-party licensors. You may not distribute, reproduce, publish, alter, modify or create derivative works from the Website content or any Product you purchase without our prior written permission or the relevant third-party licensor or exploit such contents for commercial benefit. You may use a Product you purchase for your own personal use only, and you must not reproduce, distribute, resell, or share it with any other person, including by recording, screen-recording, or otherwise relaying a live coaching call or Telegram communication to any other person.

7.5 Your right to access and use a Product is a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence, for the Permitted Use only, granted to you upon payment of the applicable Price and subject to these Terms. This licence will immediately terminate and revert to us if:

  • (a) we refund the Price for that Product to you;
  • (b) we are required to disable access to a Product for legal or regulatory reasons; or
  • (c) we determine that you have breached these Terms, including clause 4 (Your Conduct) or clause 7.4.

7.6 You acknowledge and agree that we will suffer real and substantial loss due to any breach of this clause 7 and damages alone would not be an adequate remedy for a breach of this clause 7. Therefore we may seek equitable or injunctive relief for any actual or perceived breach of this clause 7.

8 Third-party websites or services

8.1 The Website or the Products may contain links to websites that are owned and operated by third parties. We have no control over these external websites, which are governed by terms and conditions and privacy policies independent of us.

8.2 You acknowledge and agree that when you access a third-party website available via a link contained on the Website or the Products:

  • (a) you do so at your own risk and understand that you should review the privacy policy and terms and conditions of that website;
  • (b) we are not liable for the content, accuracy, lawfulness, appropriateness, or any other aspect of that third-party website; and
  • (c) you acknowledge and agree that to the full extent permitted by applicable law, we will not be liable for any loss or damage suffered by you or any other person as a result of or in connection with your access or use of any third-party website available via a link on the Website.

8.3 The Website depends on other third-party services (including, without limitation, hosting services, Stan Store (checkout, payment processing, and delivery of digital Products), Stripe (payment processing), and Telegram (delivery of certain coaching communications)). We do not collect or store your full payment card details ourselves; this is handled directly by Stan Store and Stripe. Your use of these third-party services is also governed by their own terms and conditions and privacy policies, which we encourage you to review. You agree that to the extent permitted by law, we will not be responsible or in any way liable for any defect or interruption to the availability of the Website or our services resulting from the failure of such third-party services.

8.4 Certain communications, including Telegram voice notes provided as part of the VIP Coaching Program, are delivered via Telegram, a third-party messaging platform that we do not control and are not responsible for. While we take reasonable care in our own conduct, we do not guarantee the confidentiality, security, or permanence of any communication sent or received via Telegram, and any information you share through that platform is also subject to Telegram's own terms and security practices.

8.5 We may change the third-party platforms or providers we use to operate the Website, process payments, or deliver Products (including moving away from Stan Store, Stripe, or Telegram) at any time. Such a change does not amend these Terms and for the avoidance of doubt, does not trigger the amendment process in clause 1.3.

9 Coaching, Health and Results Disclaimer

9.1 Our Products, content, courses, hypnosis audio, and coaching services are provided for educational and personal development purposes only. They are not a substitute for professional medical, psychological, psychiatric, financial, or legal advice, and are not a form of therapy or counselling.

9.2 If you are experiencing mental health difficulties, distress, or crisis, please seek support from a qualified mental health professional or, in Australia, contact Lifeline on 13 11 14 or Beyond Blue on 1300 22 4636.

9.3 Nothing on the Website or in our Products should be relied upon as a diagnosis or treatment for any medical or psychological condition. If you have a trauma history, are currently in therapy, or have a diagnosed mental health condition, you should use our Products alongside professional support, not instead of it.

9.4 You must use your own common sense and knowledge of your own personal circumstances before making any decisions in relation to any of the recommendations made by our Products. You are responsible for your own decisions and actions taken as a result of engaging with our content, Products, or coaching.

9.5 Any testimonials, results, or transformations described on the Website or in our marketing reflect individual experiences and are not guaranteed. Results vary based on your individual circumstances, effort, and factors outside our control. We make no promises or guarantees of specific outcomes from using our Products or engaging in coaching.

9.6 Hypnosis Audio

Our hypnosis and guided meditation audio recordings (including Quantum Frequency Hypnosis) involve a state of deep relaxation and reduced alertness. By using these recordings, you acknowledge and agree that:

  • (a) you must not listen to a hypnosis recording while driving, operating machinery, or engaging in any activity requiring your full attention;
  • (b) you may open your eyes, pause, or stop the recording at any time, and doing so does not indicate a failure or an adverse reaction; and
  • (c) you should not use a hypnosis recording if you have epilepsy, a seizure disorder, or any condition your doctor has advised may be affected by hypnosis or altered states of relaxation, without first consulting them.

10 Disclaimer and limitation of liability

10.1 We exclude all Warranties whatsoever, including as to the results that may be gained from using a Product, except for those expressly set out in these Terms or those that cannot be excluded due to applicable law.

10.2 Any information or advice provided on the Website, including any information or advice in relation to the Products or anything else, is of general nature only. You acknowledge that:

  • (a) no results are guaranteed from your use of the Product;
  • (b) your use of any Product or any advice is at your own risk;
  • (c) you must rely entirely on your own enquiries and judgment in relation to Products and anything offered by us, any advice and any other information or material contained on the Website;
  • (d) you must not use any Product in a manner inconsistent with any instructions we provide;
  • (e) we are not liable for any reckless or negligent act or omission by you; and
  • (f) to the maximum extent permitted by law, we exclude liability for any non-economic loss, including loss of enjoyment, disappointment, distress, or frustration, whether physical or mental, arising from your use of a Product.

10.3 To the extent that any applicable law restricts our right to exclude Warranties, these Terms must be read subject to those provisions and nothing in these Terms is intended to alter or restrict the operation of such provisions. If those statutory provisions apply, then, to the extent that we are entitled to do so, we limit our liability under such provisions to (at our discretion):

  • (a) resupplying the Product; or
  • (b) the payment of the cost of having the Product resupplied.

10.4 To the maximum extent permitted by applicable law and subject to clause 10.6, neither party will have any liability in connection with the Terms for any indirect, consequential, special, incidental, or punitive damages, or any lost revenues, profits, savings, non-economic loss (including loss of enjoyment, disappointment, distress, or frustration), loss of opportunity, or goodwill.

10.5 Subject to clause 10.10, each party's maximum aggregate liability for damages in connection with the Terms is limited to the Price for Products you paid to us during the 12 month period before the event giving rise to liability.

10.6 Our liability under these Terms is reduced to the extent that you caused or contributed to the relevant loss.

10.7 To the extent permitted by law, we exclude all liability for any claim of which you have been aware for more than six months without commencing formal proceedings, except to the extent this would exclude a guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.

10.8 You must take reasonable steps to mitigate any loss you suffer in connection with these Terms.

10.9 We provide the Website and the Products on an "as available" basis. To the extent permitted by law, we do not warrant that the Website or any Product will be uninterrupted, secure, or error-free, or that any defect will be corrected. We do not represent that you will have continued and uninterrupted access to any Product that you have purchased.

10.10 Nothing in the Terms excludes or limits either party's liability for:

  • (a) use of the Products beyond the Permitted Use;
  • (b) its fraud or fraudulent misrepresentation;
  • (c) its infringement of the other party's Intellectual Property Rights;
  • (d) its payment obligations under the Terms; or
  • (e) matters for which liability cannot be excluded or limited under applicable law.

10.11 All subclauses of this clause 10 are cumulative to one another.

11 Termination

11.1 The parties acknowledge and agree that:

  • (a) we may terminate or suspend a User's access to the Website or use of a Product (including a purchased digital Product or the VIP Coaching Program), at any time, without giving any explanation if you breach these Terms;
  • (b) we may terminate these Terms or any Sale Contract immediately by notice to you in writing if you are deemed to breach these Terms or associated policies in any way, in our sole discretion;
  • (c) termination of these Terms, a Sale Contract, or your access to the Website does not release either party from any obligations and liabilities that may have arisen or been incurred prior to the date of such termination; and
  • (d) on termination of these Terms or your access to the Website for any reason:
    • (i) you must immediately stop accessing and using the Website and any Product to which your access has been terminated, and we may take any action necessary to disable or terminate your access to the Website;
    • (ii) where termination arises from your breach of clause 4 or clause 7.4, you must delete any copies of the relevant Product in your possession;
    • (iii) each party must promptly return (where possible) or delete or destroy (where not possible to return), the other party's Personal Information and intellectual property, and/or documents containing or relating to the other party's Personal Information unless required by law or regulatory requirements to retain such information; and
  • (e) to the extent permitted by law, you release us from any liability, loss, or claim you may suffer as a result of or arising out of a termination or suspension of your access under this clause 11.

12 Analytics

12.1 Despite anything to the contrary in these Terms or elsewhere, we may capture, log, monitor, analyse and compile statistical and performance information based on and/or related to your use of the Website (to the extent we control the relevant page or platform) in an aggregated and anonymised format (Analytics). We and our licensors own all Intellectual Property Rights in and to the Analytics generated from pages we control and in the Website and all technology, documentation and content provided in connection with the Analytics. You agree that we may make such Analytics publicly available, provided that it:

  • (a) does not contain identifying information; and
  • (b) is not compiled using a sample size small enough to make the underlying Personal Information identifiable.

13 General

13.1 Records of a Sale Contract, payment, or delivery of a digital Product maintained by us or by Stan Store will be accepted as evidence of your purchase and of the date access was provided, in the absence of evidence to the contrary.

13.2 Unexpected Events: We are not liable for any failure to comply with a Sale Contract if the failure (directly or indirectly) arises out of circumstances which are not within our reasonable control, such as civil commotion, acts of terrorism, accidents, war, fire, flood, explosion, failure or unavailability of a third-party platform we rely on (such as Stan Store, Stripe, or Telegram), internet or power outages, act of God or any order or direction of any local, state or federal government, government agency or instrumentality. If such circumstances occur, we may delay or suspend delivery of Products, without any cost to us. In such an event, we may with your consent cancel the order and at our sole discretion, issue a credit, or refund any moneys paid in advance, after which you will have no further claim on the Products or against us. If the order is not so cancelled, we will complete delivery as soon as reasonably practicable.

13.3 No concession, latitude or indulgence allowed by us to you may be construed as a waiver or abandonment of any of our rights under the Terms or act as an estoppel against us.

13.4 Notices are taken to be read on the day they are received, unless they are received after 5 PM or not on a Business Day, in which case they are deemed to be received on the next Business Day. Any notice to you will be addressed to the most recent address that we have of you in our records. Any notice to us must be sent to contact@rishani.co.

13.5 You must not assign, sublicense or otherwise deal in any other way with any of your rights under these Terms. We may assign, sublicense, novate or transfer our rights and obligations under these Terms to our related body corporates, or to any bona-fide acquirer of the Website or our business.

13.6 If a provision of these Terms of Use is invalid or unenforceable it is to be read down or severed to the extent necessary without affecting the validity or enforceability of the remaining provisions unless this would materially change the intended effect of these Terms of Use.

13.7 These Terms of Use are governed by the laws of the State and each party submits to the exclusive jurisdiction of the courts of the State and all courts of appeal from there.

13.8 No breach of any provision of these Terms can be waived except with the express written consent of the party not in breach.

13.9 The contents of these Terms constitute the entire agreement between the parties and supersede any prior negotiations, representations, understandings or arrangements made between the parties regarding the subject matter of these Terms of Use, whether orally or in writing.

13.10 A provision of these Terms that can and is intended to operate after its conclusion will remain in full force and effect despite the termination or expiration of these Terms of Use, including without limitation clauses 6 (Your Conduct), 7 (Intellectual property rights), 8 (Third-party websites or services), 9 (Coaching, Health and Results Disclaimer), 10 (Disclaimer and limitation of liability), and 1 (Indemnities), this clause and all other indemnities, releases, exclusions of liabilities and disclaimers.
